1. Overview

These Terms of Service govern your use of leafsuite.io and any services provided by LeafSuite (“we,” “us,” or “our”), a cannabis dispensary marketing agency based in Central Point, Oregon. By accessing our website or engaging our services, you agree to these terms.

2. Services

LeafSuite provides marketing services exclusively to licensed cannabis dispensaries, including but not limited to retention marketing, local SEO, and website management. Specific services, deliverables, and fees are defined in a separate client agreement signed prior to engagement.

Nothing on this website constitutes an offer of services or creates a client relationship. A client relationship is only established upon execution of a written agreement and receipt of payment.

3. Engagement Structure

Client engagements begin with an initial contract period as specified in the client agreement. Following the initial period, engagements continue on a month-to-month basis unless terminated by either party with written notice as specified in the client agreement.

4. Payment

Payment terms are outlined in each client agreement. LeafSuite reserves the right to pause or suspend services for accounts with outstanding balances. Continued use of services constitutes acceptance of applicable fees.

5. Intellectual Property

Upon full payment of all fees owed, clients own the deliverables LeafSuite creates specifically for them — including website content, copy, and campaign assets.

LeafSuite retains all rights to its proprietary systems, frameworks, templates, methodologies, and processes — including the Dispensary Momentum System and its component engines. These are licensed for use during an active engagement and do not transfer to the client upon termination.

6. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This includes client business data, marketing strategies, and performance metrics. This obligation survives termination of the engagement.

7. Website Use

You agree not to use leafsuite.io for any unlawful purpose or in any way that could damage, disable, or impair the site. Unauthorized scraping, copying, or reproduction of site content is prohibited.

8. Disclaimers

Our website content is provided for informational purposes only. LeafSuite makes no guarantees regarding specific outcomes from marketing services beyond what is explicitly stated in a signed client agreement. Results vary based on market conditions, client participation, and other factors outside our control.

9. Limitation of Liability

To the fullest extent permitted by law, LeafSuite shall not be liable for any indirect, incidental, or consequential damages arising from use of our website or services. Our total liability in connection with any claim shall not exceed the fees paid by the client in the 30 days preceding the claim.

10. Governing Law

These terms are governed by the laws of the State of Oregon. Any disputes shall be resolved in the courts of Jackson County, Oregon.

11. Changes to These Terms

We may update these terms periodically. The effective date at the top reflects the most recent revision. Continued use of our website or services following any update constitutes acceptance of the revised terms.
